End-User License Agreement

1. Agreement to Terms
This End-User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and DeepLedger Inc. ("DeepLedger," "we," "us," or "our") for the use of the DeepLedger software platform, including the web portal, MCP server, Claude Code plugin, and all associated components (collectively, the "Software").
By installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.
2. License Grant
Subject to your compliance with this EULA, DeepLedger grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the DeepLedger web portal at deepledger.ai
- Use the DeepLedger MCP server to connect with QuickBooks Online and other supported services
- Use the DeepLedger Claude Code plugin for AI-powered bookkeeping automation
- Use AI agents and tools provided through the platform for your organization's bookkeeping purposes
This license is granted solely for your internal business purposes and does not include the right to sublicense, resell, or redistribute the Software.
3. License Restrictions
You may not:
- Copy, modify, or create derivative works of the Software
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
- Remove, alter, or obscure any proprietary notices or labels on the Software
- Use the Software for any purpose that is unlawful or prohibited by this EULA
- Rent, lease, lend, sell, or sublicense the Software to any third party
- Use the Software to build a competing product or service
- Attempt to circumvent any security, access control, or rate-limiting measures
- Use automated scripts or bots to access the Software except through our provided MCP tools and APIs
4. Third-Party Integrations
The Software integrates with third-party services. Your use of these integrations is subject to the following:
4.1 Intuit QuickBooks Online
- DeepLedger accesses QuickBooks Online through Intuit's official APIs using OAuth 2.0 authorization.
- DeepLedger is an independent application and is not affiliated with, endorsed by, or sponsored by Intuit Inc.
- Your use of QuickBooks Online is governed by Intuit's Terms of Service and Privacy Policy.
- You are responsible for maintaining an active QuickBooks Online subscription.
- DeepLedger is not responsible for changes to Intuit's APIs, services, or policies that may affect functionality.
4.2 AI Services (Anthropic Claude)
- AI processing is performed through Anthropic's Claude models.
- AI-generated outputs (categorizations, entries, reports) are provided as automated assistance and are not guaranteed to be error-free.
- You are responsible for reviewing and approving AI-generated bookkeeping actions.
4.3 Supabase
- Authentication and data storage are provided through Supabase.
- Data is stored in PostgreSQL databases with row-level security policies.
5. Data and Privacy
Your use of the Software is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. Key points:
- You retain ownership of all your financial data and documents.
- We process your data solely to provide the Service.
- QuickBooks OAuth tokens are encrypted and never shared with third parties.
- We do not sell your data.
- Organization data is isolated using row-level security policies.
6. Intellectual Property
The Software and all associated intellectual property rights are and remain the property of DeepLedger Inc. This EULA does not transfer any ownership rights to you. All rights not expressly granted are reserved by DeepLedger.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DEEPLEDGER DOES NOT WARRANT THAT: (A) THE SOFTWARE WILL MEET YOUR REQUIREMENTS; (B) THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) AI-GENERATED RESULTS WILL BE ACCURATE OR RELIABLE; OR (D) ANY DEFECTS IN THE SOFTWARE WILL BE CORRECTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEEPLEDGER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, WHETHER DIRECT OR INDIRECT, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF THE SOFTWARE.
DEEPLEDGER'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. Termination
- This EULA is effective until terminated by either party.
- You may terminate by discontinuing use of the Software and deleting your account.
- We may terminate this EULA immediately if you breach any of its terms.
- Upon termination, your license rights cease and you must stop using the Software.
- Sections on intellectual property, disclaimer of warranties, limitation of liability, and governing law survive termination.
10. Updates and Modifications
DeepLedger may update, modify, or discontinue the Software at any time. We may also update this EULA from time to time. Material changes will be communicated by updating the "Last updated" date on this page. Continued use of the Software after changes constitutes acceptance.
11. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be resolved in the state or federal courts located in Delaware.
12. Severability
If any provision of this EULA is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
13. Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and DeepLedger regarding the Software and supersedes all prior agreements and understandings.
