Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the DeepLedger platform, including the website at deepledger.ai, the DeepLedger portal, MCP server, Claude Code plugin, and all related services (collectively, the "Service"), provided by DeepLedger Inc. ("DeepLedger," "we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
DeepLedger provides AI-powered bookkeeping automation for accounting firms. The Service includes:
- Integration with QuickBooks Online via Intuit's APIs for transaction management, reporting, and reconciliation
- AI-powered transaction categorization, duplicate detection, and bookkeeping automation
- A web portal for reviewing AI-processed transactions, managing documents, and monitoring AI activity
- MCP server tools for interacting with QuickBooks data programmatically
- Audit logging and compliance reporting
3. Account Registration
- You must provide accurate and complete registration information.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must be at least 18 years old to use the Service.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
4. QuickBooks Integration
The Service integrates with Intuit QuickBooks Online through Intuit's official APIs. By connecting your QuickBooks account:
- You authorize DeepLedger to access your QuickBooks data within the scopes you approve during the OAuth consent flow.
- You acknowledge that DeepLedger is a third-party application and is not affiliated with, endorsed by, or sponsored by Intuit Inc.
- Your use of QuickBooks Online is also subject to Intuit's own Terms of Service and Privacy Policy.
- You may revoke DeepLedger's access to your QuickBooks account at any time through the portal settings or through your Intuit account.
- DeepLedger uses OAuth 2.0 and does not store your QuickBooks username or password.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Use the Service to process data you do not have the right to process
- Circumvent any security measures or access controls
- Use automated means to access the Service except through our provided APIs and tools
- Resell, sublicense, or redistribute the Service without our written consent
6. AI-Generated Actions
The Service uses artificial intelligence to perform bookkeeping tasks. You acknowledge and agree that:
- AI-generated categorizations, entries, and reports are provided as assistance and should be reviewed by qualified professionals.
- DeepLedger is not a licensed accounting firm and does not provide accounting, tax, or financial advice.
- You are ultimately responsible for the accuracy and completeness of your financial records.
- Transactions flagged for human review require your explicit approval before being finalized.
- AI agent memory and learned patterns are specific to your organization and are not shared across clients.
7. Data Ownership
- You retain all ownership rights to your data, including financial records, documents, and QuickBooks data.
- You grant DeepLedger a limited license to process your data solely for the purpose of providing the Service.
- We do not claim ownership of any data you submit to or generate through the Service.
- Upon termination, you may export your data. We will delete your data in accordance with our Privacy Policy.
8. Intellectual Property
The Service, including its software, design, logos, and documentation, is owned by DeepLedger Inc. and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, trade names, or branding.
9. Third-Party Services
The Service integrates with third-party services including Intuit QuickBooks, Supabase, and Anthropic. Your use of these services is subject to their respective terms and policies. DeepLedger is not responsible for the availability, accuracy, or practices of third-party services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPLEDGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated results will be accurate or complete. The Service is not a substitute for professional accounting advice.
12. Indemnification
You agree to indemnify and hold harmless DeepLedger, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of a third party.
13. Termination
- You may terminate your account at any time through the portal settings or by contacting us.
- We may suspend or terminate your access if you violate these Terms or engage in conduct harmful to the Service or other users.
- Upon termination, your right to use the Service ceases immediately.
- Sections relating to data ownership, limitation of liability, indemnification, and governing law survive termination.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
